1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User" or "Licensee") and Lopo Studio ("we", "us", or "our") governing your download, installation, and use of the Lopo Studio desktop application and associated websites.

By downloading, installing, or purchasing a license to Lopo Studio, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, do not install or use the software.

2. Desktop Software License Grant

Upon purchasing a Founder License, Lopo Studio grants you a personal, non-exclusive, non-transferable, perpetual license to install and execute the software on compatible Windows operating system devices owned or controlled by you.

• Lifetime Access & Product Updates: The Founder License grants lifetime use of Lopo Studio along with all future product updates, improvements, and bug fixes released for the desktop application.
• No Subscription or Account Required: No recurring subscription fees or cloud account registrations are required for local database and SQL work.
• Device Usage: A single personal license allows concurrent installation across your personal desktop and laptop computers.

3. Local-First Operation & Data Ownership

Lopo Studio is built as a local-first Windows application. Database credentials, connection strings, queries, schemas, and query results execute directly between your device and your configured database instances.

We do not host your databases, maintain cloud proxies of your queries, or store your database credentials on remote servers. All credentials saved in Lopo Studio are stored locally using the Windows Credential Manager (DPAPI).

4. Prohibited Uses

You agree not to:

• Reverse engineer, decompile, or disassemble the binary files of Lopo Studio except where explicitly permitted by applicable law.
• Redistribute, sublicense, rent, lease, or resell the software or your license activation credentials to third parties without prior written consent.
• Use the software in violation of any applicable local, national, or international laws.

5. Payments, Fees, and Refunds

Licenses are purchased as a one-time transaction via our authorized payment processor (Paddle). We do not automatically charge recurring subscriptions.

Refund requests are honored in accordance with our Refund Policy within fourteen (14) days of original purchase date.

6. Disclaimer of Warranties

Lopo Studio is provided on an "AS IS" and "AS AVAILABLE" basis, without warranty of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

You assume full responsibility for managing database queries, data backups, and table modifications executed through the software.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Lopo Studio or its creators be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or business goodwill arising out of or related to your use of the software.
